HOW TO PLAY
STEP BY STEP CONTEST INSTRUCTIONS
PREP ROUND PLAY (February 25 – April 21)
1. Players may place one (1) $20 Show wager on a single horse or entry in up to 20 designated contest prep races (see official prep race schedule). Important Notice: For the UAE Derby in Dubai on March 31, the official contest wager will be $20 Place (Place pays to the top 3 finishers in Dubai).
2. For the purposes of contest play, only a player’s FIRST $20 Show wager on a designated contest race will count in the contest. Multi-horse and combination Win/Place/Show, Win/Show or Place/Show wagers will not count in the contest. Check for scratches; any wager that is refunded due to a scratched horse will not count in the contest. In the event a player’s first contest wager is scratched, s/he may place another contest wager prior to post time for a designated contest race.
3. For each winning $20 Show wager a player places, s/he earns one (1) unvested share of the $10,000 Prize. An unvested share has no actual cash value, but players earning the most unvested shares will win Kentucky Derby tickets and merchandise. A player may earn a maximum of 20 unvested shares during the contest.
4. After the first 20 designated contest races are official, Kentucky Derby tickets and merchandise will be awarded to the top 30 unvested shareholders.
FINAL ROUND PLAY – THE TRIPLE CROWN (May 5, May 19 and June 9)
5. Any player with one (1) or more unvested shares may participate in Final Round Play by placing one $20 Show wager on a single horse or entry in each of the three Triple Crown races – The Kentucky Derby on May 5, the Preakness Stakes on May 19 and Belmont Stakes on June 9.
6. For the purposes of contest play, only a player’s FIRST $20 Show wager on a Triple Crown race will count in the contest. Multi-horse and combination Win/Place/Show, Win/Show or Place/Show wagers will not count in the contest. Check for scratches; any wager that is refunded due to a scratched horse will not count in the contest.
7. Players who place winning contest wagers on each of the three Triple Crown races will have all of their unvested shares earned during Prep Round Play fully vested in the $10,000 Prize. A vested share will have cash value equal to $10,000 divided by all outstanding vested shares earned by players who successfully sweep the Triple Crown races. Each player’s prize value will equal the total amount of vested shares they have earned multiplied by the Final Share Value. The Final Share Value will equal $10,000 divided by the total amount of vested shares earned by all players who sweep the Triple Crown races.
8. The $1,000,000 Ultimate Prize will be awarded to any player who places a winning contest wager on all 23 contest races – the 20 designated contest prep races and the three Triple Crown races. If more than one player places a winning contest wager on all 23 races, the $1,000,000 Ultimate Prize will be shared equally by all winners. In the event the Ultimate Prize is awarded, the 20 vested shares earned by any winning player will not be counted when calculating the Final Share Value of the $10,000 Prize.
SUMMARY
TwinSpires.com players will be able to compete for a $1,000,000 Ultimate Prize while also earning shares of a $10,000 prize and competing for Kentucky Derby tickets and merchandise in the "Triple Crown Showdown" contest. The contest begins February 25th and runs through the Belmont Stakes, Saturday, June 9th, 2012.
ELIGIBILITY
The TwinSpires Triple Crown Showdown (the "Contest") is open to TwinSpires.com registered players only, who are legal residents of the United States and at least 18 years or older. The following states have higher age requirements: Alabama (min. age 19), Iowa (min. age 21), New Hampshire (min. age 21), Washington (min. age 21). TwinSpires.com is a free service; sign-up opportunities exist via www.twinspires.com. Employees of Churchill Downs Technology Initiatives Company ("Sponsor" or "Twin Spires") and their respective subsidiaries, affiliates, their contractors, agents and promotion companies, their advertising agencies involved in this contest as well as racing officials and their immediate families or household members are not eligible to participate.
By entering, all participants and/or entrants release Churchill Downs Technology Initiatives Company and its parent company, subsidiaries, and affiliates, and their respective employees, officers, directors, agents and shareholders (collectively, "Released Parties"), from and against all claims and damages arising in connection with each entrant’s participation and/or entry in this Contest and/or their receipt or use of any prize awarded in this Contest. This Contest is governed by U.S. law and is void where prohibited by law.
METHOD OF ENTRY
The TripleCrown Showdown is a game of skill. The contest is open to all TwinSpires.com customers who have a valid, open and in good standing TwinSpires.com wagering account. This is an Internet based contest; no phoned, faxed, emailed or other form of entry is permitted. Players with valid TwinSpires.com wagering accounts are automatically entered into the contest by placing a winning $20 Show wager on a single horse or entry in any of the Kentucky Derby prep races as outlined on the official contest prep race schedule. Players can earn up to 20 "unvested" shares of the $10,000 prize by placing winning $20 Show wagers on the 20 Kentucky Derby prep races as defined by the official schedule for the contest. Players choosing to place their wagers at the Fair Grounds Race Course and it’s OTBs are eligible for this contest and may use their TwinSpires account wagering accounts at specially placed terminals at those facilities. There is no limit to the number of players in the contest. One entry per player per prep race.
HOW TO PLAY
Players must place all wagers personally. No person shall directly or indirectly act as an intermediary, transmitter or agent in placing wagers for the Player. All wagers must be placed as a $20 Show wager, meaning your horse selection must finish the race coming in first, second or third.
Players must place their selection and $20 Show wager prior to post time of each designated prep race. Players earn one "unvested" share in the $10,000 prize every time they place a winning $20 Show wager in an official prep race using their TwinSpires wagering account. For the purposes of contest play, only a player’s first $20 Show wager on a single horse or entry in a designated prep race will count in this contest. Show wagers placed as part of combination Win/Place/Show, Win/Show or Place/Show wagers will not count in this contest. Check for scratches, as wagers placed on scratched horses will not count in this contest.
TwinSpires will update the Top 30 unvested shareholders every Tuesday after each prep race weekend.
To "vest" their shares in the $10,000 Prize, players must place a winning $20 Show wager on each of the Kentucky Derby on May 5, Preakness Stakes on May 19 and Belmont Stakes on June 9, 2012. For the purposes of contest play, only a player’s first $20 Show wager on a single horse or entry in the Kentucky Derby, Preakness Stakes and Belmont Stakes will count as a player’s final three contest wagers. If a player’s contest wagers on all three of the Kentucky Derby, Preakness Stakes and Belmont are winners, all of his or her unvested shares will be fully vested in the $10,000 Prize.
TOP THE SHAREHOLDERS BOARD
TwinSpires will maintain a "Shareholders Scoreboard" called the "Shareholders Board" to keep track of the players who accumulate the most unvested shares. The top 30 players who accumulate the most unvested shares in the Kentucky Derby Prep Round will win the following prizes: 1st – 10th place (a pair of reserved seat tickets to the 2013 Kentucky Derby. Approximate Retail Value (ARV): $400); 11th – 20th place (an official Kentucky Derby Polo Shirt. ARV: $40); 21st – 30th place (an official Kentucky Derby Ball Cap Hat. ARV: $20).
If there is a tie in any position on the "Shareholder Board", the order of finish will be determined by the player whose winning contest wagers returned the highest cumulative winnings. If a tie still remains, TwinSpires.com will select an alternative method of breaking the tie.

Every effort has been made using the previous year’s information to ensure the most accurate listing of the order of races. The official list and order for purposes of this contest is as listed above. However, Sponsor reserves the right to revise the official list and order of races as necessary due to any event beyond the control of Sponsor, including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order or regulation, order of any court of jurisdiction, infection by computer virus, unauthorized intervention, technical failures or other cause not reasonably within the control of Sponsor (each a "Force Majeure" event or occurrence). Sponsor also reserves the right to name a replacement race in the event Show wagering is cancelled in any of the listed races. If Sponsor, in its discretion, elects to revise the official list and order of races as a result of a Force Majeure event, a notice will be posted on TwinSpires.com.
FINAL ROUND PLAY – THE TRIPLE CROWN
1) On Kentucky Derby Day – May 5, 2012 – all unvested shareholders must bet $20 to Show on a single horse or entry in the Kentucky Derby. For the purposes of contest play, only your first $20 Show wager on the Kentucky Derby will count as your official contest wager.
2) On Preakness Stakes Day – May 19, 2012 – all unvested shareholders must bet $20 to Show on a single horse or entry in the Preakness Stakes. For the purposes of contest play, only your first $20 Show wager on the Preakness Stakes will count as your official contest wager.
3) On Belmont Stakes Day – June 9, 2012 – all unvested shareholders must bet $20 to Show on a single horse or entry in the Belmont Stakes. For the purposes of contest play, only your first $20 Show wager on the Preakness Stakes will count as your official contest wager.
Only if all three of your Triple Crown contest wagers are winning Show wagers, all of your accumulated "unvested" shares from the Kentucky Derby Prep Race Round will become fully vested in the $10,000 Prize.
In the event no player places a winning $20 Show wager on the Kentucky Derby, Preakness Stakes and Belmont Stakes, all "unvested" shares every player has accumulated will become fully vested in the $10,000 Prize.
PRIZES
Prize 1. TwinSpires.com is funding a $10,000 prize. Each winning contest Show wager placed on an official Kentucky Derby prep race will earn one "unvested" share in the prize. At the completion of Kentucky Derby Prep Round Play, each unvested shareholder will be required to place a single contest $20 Show wager on all three Triple Crown races – the Kentucky Derby, Preakness Stakes and Belmont Stakes – in Final Round Play in order for their unvested shares to vest. If the player’s contest wagers on all three Triple Crown Races are winners, all of his accumulated unvested shares will be "vested" in the prize ($10,000). After the Belmont Stakes is declared official, the vested share value will be calculated by dividing $10,000 by the total outstanding vested shares of each player. How much a player wins will be determined by the vested share value multiplied by the amount of vested shares he or she has earned at the end of Final Round Play. In the event there is a $1,000,000 Ultimate Prize winner or winners, the 23 vested shares for each Ultimate Prize winner will not be included in the calculation of the Vested Share Value. Each player who has earned a vested share or multiple vested shares will have their share winnings automatically deposited into their TwinSpires wagering account. All players are subject to applicable taxes.
Prize 2. $1,000,000 Ultimate Prize*: In the event a player accumulates 23 Vested Shares of the Prize by placing a winning contest Show wager on all 23 designated contest races, s/he will be eligible to win the Ultimate Prize of $1,000,000. If there are multiple Ultimate Prize winners, the $1,000,000 Ultimate Prize will be divided equally among all Ultimate Prize winners, if any. In the event more than two (2) of the Triple Crown Showdown races are cancelled, declared "no contest" or for any reason are not contested, the $1,000,000 Ultimate Prize will be canceled and players will compete only for the $10,000 Prize.
*A single $1,000,000 Ultimate Prize winner will be paid in the form of a 40-year annuity, without interest, or a present value cash option equivalent.
CONDUCT
Churchill Downs Incorporated and TwinSpires.com each reserves the right, in its sole discretion, to modify, cancel, terminate, and/or suspend the Contest and to disqualify any individual who tampers with the process, violates these official rules, or acts in a disruptive or unsportsmanlike manner. Without limiting the foregoing, Churchill Downs Incorporated and TwinSpires.com may, in its sole discretion, prevent an entrant who has been disqualified, has questionable eligibility, or is otherwise ineligible to receive a prize, from continuing to participate in the Contest.
GENERAL CONDITIONS
TwinSpires’ decisions with respect to the potential winner and any other matters pertaining to the contest shall be final. The potential Winner(s) will be required to sign an affidavit of eligibility and release of liability and publicity (where permitted), and return same, properly executed, within five (5) days of issuance of prize notification. If TwinSpires is unable to contact a potential winner within five (5) days of the initial attempt to contact, if a potential winner fails to complete and return all requested forms by the specified date or if a potential winner fails to comply with any of the requirements, his/her prize will be forfeited and an alternate prize winner shall be selected. By entering the Contest, all entrants consent to the use of their name, photograph, likeness, biography, voice and/or video for advertising and promotional purposes, including online announcements, worldwide and without limitation and without additional compensation, except where prohibited by law.
All costs, taxes, fees, and expenses associated with a prize or the acceptance and use of any element of a prize not specifically addressed above are the sole responsibility of the respective winner. All federal, state, and local taxes on prize are winner’s responsibility. Prizes may not be transferred or exchanged.
INTERNET/TECHNOLOGY PROBLEMS
If for any reason the Internet platform is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of TwinSpires, which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this contest, TwinSpires and its affiliates/agents reserve the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest and select winners in a manner, which in the sole judgment of TwinSpires, is fair, appropriate and consistent with these Official Rules. TwinSpires and its affiliates/agents reserve the right to disqualify any individual who violates these Contest Rules or the associated rules sets referenced. If anyone tampers with the entry process or engages in any conduct detrimental to TwinSpires, the Contest or any other player (in each case as determined at TwinSpires’s sole discretion), TwinSpires reserves the right to lock out any individual whose eligibility is in question, and to cancel, terminate, modify or suspend this Contest at any time. The Released Parties assume no responsibility for, and will not be liable for, any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of entries. None of the Released Parties are in any way responsible or liable for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by TwinSpires on account of technical problems or traffic congestion on the Internet or at any associated Web site, or any combination thereof, including any injury or damage to participant’s or any other person’s computer related to or resulting from participation or downloading of any materials in this Contest.
ARBITRATION
IT IS IMPORTANT THAT YOU READ THIS ENTIRE SECTION CAREFULLY BECAUSE IT AFFECTS YOUR LEGAL RIGHTS. THIS SECTION PROVIDES THAT, EXCEPT FOR THE SPECIFIC EXCEPTION STATED BELOW, ANY DISPUTE BETWEEN YOU AND TWINSPIRES MUST BE RESOLVED BY BINDING ARBITRATION THAT REPLACES THE RIGHT TO GO TO COURT BEFORE A JUDGE OR A JURY, AND MAY LIMIT YOUR RIGHTS TO DISCOVERY OR TO APPEAL. IT FURTHER PROVIDES THAT YOU WILL NOT BE ABLE TO BRING A CLASS ACTION OR OTHER REPRESENTATIVE ACTION IN COURT, NOR WILL YOU BE ABLE TO BRING ANY CLAIM IN ARBITRATION AS A CLASS ACTION OR OTHER REPRESENTATIVE ACTION. TwinSpires may, without your consent, elect mandatory binding arbitration of any claim, dispute or controversy raised by you against TwinSpires (or its affiliates) arising from or related to this Contest (the "Claim" or "Claims"). All Claims are subject to arbitration, no matter what theory they are based on or what remedy they seek, whether legal or equitable. If TwinSpires elects arbitration, the arbitration will be conducted as an individual arbitration. Neither you nor TwinSpires consent or agree to any arbitration on a class or representative basis, and the arbitrator shall have no authority to proceed with an arbitration on a class or representative basis. No arbitration will be consolidated with any other arbitration proceeding without the consent of all parties involved. This arbitration provision applies to and includes any Claims made and remedies sought as part of any class action, private attorney general action, or other representative action. By consenting to submit Claims to arbitration, you may be forfeiting its right to share in any class action awards, including class claims where a class has not yet been certified, even if the facts and circumstances upon which the Claims are based already occurred or existed. Either the National Arbitration Forum ("NAF") or the American Arbitration Association ("AAA") must administer the arbitration. The arbitration organization that is selected will apply its rules, codes or procedures in effect at the time the arbitration is filed, unless any portion of those rules, codes, or procedures is inconsistent with any specific terms of this arbitration provision or these Rules, in which case the terms of this arbitration provision or these rules will govern. These rules and procedures may limit the amount of discovery available to you. The arbitration shall be before a single arbitrator. The arbitrator will apply applicable substantive law, including the applicable statute of limitations, and will honor claims or privilege recognized at law. The arbitrator will have the power to award to a party any damages provided for under applicable law, but in so doing, the arbitrator shall apply substantive law regarding damages as if the matter had been brought in court. All fees, including attorneys’ fees will be allocated in accordance with the rules of the arbitration organization. The Federal Arbitration Act, and not state law, shall govern the arbitrability of all Claims between you and TwinSpires, including any and all claims or disputes concerning the validity, construction and performance of this arbitration provision. Any Claim or dispute as to the enforceability of this arbitration provision’s restrictions on your right to participate in or pursue a class action or classwide arbitration shall be decided by a court and not an arbitrator, and shall be brought only in a United States District Court located in Louisville, Kentucky.
RULES AND WINNER’S LIST
This contest is subject to these Contest Rules and any other rules set expressly referenced herein. Game players agree to abide by the terms of these Contest Rules and by the decisions of TwinSpires, which are final on all matters pertaining to this contest.
TwinSpires reserves the right to change these Contest Rules at any time, in its sole discretion. Contest rules may be obtained on the TwinSpires website.
